CONSTITUTION

 

Dorridge Cricket Club (hereinafter referred to as “the club”) is a cricket club which is not conducted for profit. This constitution was adopted with effect from 1st April 2004 by resolution of the ordinary membership of the club in general meeting held on 9th August 2004.

 

REGULATION

Regulation of the club is carried out by the ordinary membership in general meeting as directed by this constitution and the law of the land.

 

AIM OF THE CLUB

The aim of the club is to promote, organise and play the game of cricket for the benefit of all.

 

MEMBERSHIP OF THE CLUB

Membership of the club is open to players and supporters of cricket regardless of their age, sex, place of residence, religion, ethnic origin, or any disablement. Membership consists of the ordinary members as directed by this constitution, and such other categories of membership as may be put in place by the club’s general committee.

 

Ordinary Membership of the club

Ordinary membership of the club consists of three categories:-

Honorary Life Members – elected for life by the ordinary membership in general meeting by way of thanks for their long and distinguished service to the club.

Executive Members – elected by the ordinary membership in general meeting and subject to their paying an annual subscription to an amount fixed by the ordinary membership in general meeting.

Senior Playing Members – accepted by the committee as being suitable players and being over eighteen years of age and subject to their paying an annual subscription to an amount fixed by the ordinary membership in general meeting.

 

Officers of the club

The officers of the club are the President, Chairman, Vice Chairman, Secretary, Treasurer, team Captains, and such other posts as may be elected by the ordinary membership of the club in general meeting. All these posts are honorary and the post holders must be ordinary members of the club.

 

GENERAL COMMITTEE

Responsibility for all aspects of day to day management of the club, including the fixing of any club rules, is vested in a general committee (hereinafter referred to as “the committee”) composed of the Chairman, Vice Chairman, Secretary, Treasurer, team Captains and as many other ordinary members as the committee co-opts. The committee will conduct the club’s business as it sees fit and report to the ordinary membership in general meeting. The committee must meet at least once every financial year, and will be presided over by Chairman or in his/her absence the Vice Chairman, or in his/her absence  another officer of the club. The committee will make its own arrangements for notice, quorum, voting, minutes, and the operation of any sub-committees it may create.

 

PATRONAGE AND SPONSORSHIP

The title of  Patron acknowledges that an individual is the major benefactor of the club. The Patron is not an officer of the club, and the title is an honour that may be bestowed or removed by the club in general meeting. Sponsorship is commercial support for the club which may be accepted from companies, organisations or individuals by the committee.

 

GENERAL MEETINGS

General meetings of the ordinary membership of the club will be presided over by the Chairman or in his/her absence the Vice Chairman or in his absence another officer of the club, or in their absence an ordinary member as decided by the ordinary members present.

GENERAL MEETINGS  - continued

 

Annual General Meeting

The ordinary membership of the club shall hold an annual general meeting at least once every year between the 31 October and the 1 April the following year. At this meeting the ordinary membership

i)                    receive reports from officers of the club and the committee for the preceding year,

ii)                   adopt the accounts for the preceding year,

iii)                 elect the officers of the club and other members of the committee for the ensuing year,

iv)                 elect the executive members for the ensuing year

v)         approve ordinary members annual subscriptions for the ensuing year.

vi)        conduct any other business as requested of the secretary by the committee or by any individual  ordinary member in writing up to 14 days prior to the meeting.

 

Extraordinary General Meetings

All general meetings other than Annual General Meetings shall be called Extraordinary General Meetings. An  Extraordinary General Meeting may be called by the committee to decide on any matter which they consider to be beyond their remit of day to day management, and in any case must be called by the committee to amend this constitution, or on any other subject if petitioned in writing to do so by 10 or more of the ordinary members.

 

Notice

Ordinary members are entitled to 21 days written notice of all general meetings which should specify the time and place of the meeting, and the general nature of the business to be transacted.  The accidental omission to give notice of a meeting to, or the non-receipt of notice of a meeting by, an ordinary member or members shall not invalidate the proceedings at that meeting.


Quorum

No business shall be transacted in general meeting unless a quorum is present within half an hour of the time appointed to start. The quorum for general meetings is ten members entitled to vote.

 

Voting

Only  ordinary members of the club who have paid their due subscriptions are entitled to vote in general meeting. Voting will be carried out by a show of hands, or a secret ballot if requested by 5 members attending the meeting. Decisions will be taken by a simple majority vote of those ordinary members attending the meeting and entitled to vote, except in the case of cessation (see below) or any change to this constitution, when a 75% majority in favour of change will be required. In all cases, the Chairman of the meeting will not vote except where the voting is divided so as to prevent a decision, in which case the chairman will have a casting vote.

 

Minutes

The Secretary will be responsible for  recording the decisions of general meetings in minutes, which will  be circulated, amended as necessary, and approved as a correct record by the members at the following meeting.

 

Accounts

The club’s financial year shall end on 31 October each year.  The Treasurer will be responsible for the preparation of the annual accounts to that date each year and the committee will appoint a suitably qualified accountant to be responsible for independent certification or audit of those accounts as appropriate.

 

CESSATION

The club will cease to exist when the number of ordinary members falls below ten or when the ordinary membership so decides in general meeting. In this event, all the clubs financial commitments will be paid, final accounts will be prepared, and any  surplus of money or other assets of the club on cessation will be donated to another club with a similar aim, which is either a registered charity or community amateur sports club, or to the governing body of the sport of cricket, for use by them in community related amateur sport for which the club exists.                                                                                                                             ENDS
